       PPPA BOARD APPROVED AMENDED BYLAWS

Over the last three years, the PPPA Board has voted on five items that necessitate updating the PPPA Bylaws.  These items are:

      1.  May 2019 voted to eliminate the Annual Meeting of Members.  With the exponential growth of the club membership, having an Annual Meeting to conduct business became unwieldy.  The Board manages the ongoing business of the Association, communicates weekly to the membership of items of interest, and any action requiring the vote of the membership can be accomplished through a Special Meeting in person or online.  Therefore, the Annual Meeting requirement in the Bylaws seemed redundant, impractical, and unnecessary.  But not having an Annual Meeting for business does not mean the Association cannot get together annually for fun, like the Ice Cream Social we had this past summer!

       2.  July 2019 voted to amend the Bylaws to properly capture the PPPA Mission and Purpose.  The original PPPA Mission and Purpose were not properly captured in the amended PPPA Bylaws from June 2018.  The Board voted in July 2019 to correct this oversight and return the original verbiage of the PPPA Mission to the Bylaws which is "to promote the sport of pickleball in El Paso County, Colorado, through education, training, and conduct of amateur sport competitions, and to help reduce the financial burdens of local government through funding for pickleball court construction, improvements, and maintenance".  The Board also voted to return the original verbiage of the Purpose to the Bylaws which is "PPPA serves a charitable and educational purpose by enhancing the health and welfare of the general public in El Paso County, Colorado, through the sport of pickleball.  Such activities may include but are not limited to:  sponsoring and conducting pickleball tournaments, offering pickleball exhibitions, training lessons, and instructional play."

      3.  December 2020 voted to amend Article V Section 5.6 concerning an audit whenever a new Treasurer takes office.  The Board voted to delete the requirement to have an independent external audit every time a new Treasurer takes office.  This requirement was very expensive and time-consuming.  The requirement to have an internal annual audit remains in place.  In addition, an internal or external audit may be directed by the Board of Directors at any time, as determined by a majority of the Directors.

       4.  March 2022 voted to make the Tournament Coordination Director position the Tournament Coordinator.  The responsibilities of the Tournament Coordination Director position were contracted out the last three years the PPPA Board hosted tournaments.  Given the reduced role, the position became a Tournament Coordinator committee chairperson reporting to the Board.

      5.  May 2022 voted to establish a process for appointments to the Board.  The Board voted to use an appointment system to fill vacant positions instead of using an election process.  This process is just like many other large nonprofit organizations that do not hold annual elections but rather use a candidate interview and appointment process to fill vacant Board positions.  One local large nonprofit organization that follows this model is The Colorado Springs Sports Corporation.   The Board voted to amend the PPPA Bylaws to incorporate the changes that the Board has approved over the last three years.  Attached is the amended version of the PPPA Bylaws.
